1. Introduction and Scope

By accessing or using the Rexogo platform, website, and related services (collectively, the "Service") provided by Global First Solutions LLC ("Rexogo," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you (the "User," "you," or "your") and Global First Solutions LLC, a limited liability company organized under the laws of the State of Wyoming, United States, with its principal office at 1021 E Lincolnway 7933, Cheyenne, WY 82001, United States.

2. The Service

Rexogo is a cloud-based software-as-a-service (SaaS) platform that provides customer relationship management (CRM), sales automation, marketing automation, funnel building, appointment scheduling, communication tools (email, SMS, voice, WhatsApp), AI-powered features, analytics, and related business tools.

All payment processing is handled by Stripe, Inc. We do not store your payment card details on our servers. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice to active subscribers.

3. Account Registration

To access the Service, you must create an account with accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account
• Ensuring your use of the Service complies with all applicable laws
• The content and data you upload, store, or transmit through the Service

You may not share your account credentials with third parties or allow multiple individuals to use a single account unless your subscription plan explicitly permits multiple users. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions, Billing, and Cancellation

• Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan.
• Auto-Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• Cancel Anytime: You may cancel your subscription at any time through your account settings or by contacting support at connect@rexogo.com. Upon cancellation, your access continues until the end of the current billing period.
• Usage-based charges (SMS credits, email sends, voice minutes, AI usage) are billed at the end of each billing cycle based on actual usage.
• All fees are quoted in US dollars. We reserve the right to change pricing with 30 days advance written notice.
• Failure to pay fees when due may result in suspension or termination of your access to the Service.

5. Prohibition of Mass Marketing

The messaging features of Rexogo (including SMS, WhatsApp, email, and voice) are designed for individual, one-to-one communication only. The following activities are strictly prohibited:

• Mass unsolicited messaging (spam) via any channel
• Bulk SMS or WhatsApp marketing campaigns to contacts who have not given explicit prior consent
• Using the Service to send deceptive, fraudulent, or misleading messages
• Automated mass dialing or robocalling

Violations of this policy may result in immediate suspension or termination of your account without refund. You are solely responsible for complying with all applicable telecommunications laws, including but not limited to TCPA (US), GDPR (EU), PECR (UK), and any local regulations.

6. License and Intellectual Property

Limited License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

Our Intellectual Property: The Service, including its original content, features, functionality, design, and underlying technology, is and remains the exclusive property of Global First Solutions LLC and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content: You retain all rights to the content and data you create, upload, or store through the Service. By using the Service, you grant us a limited, non-exclusive license to use, process, and display your content solely for the purpose of providing and improving the Service.

AI-Generated Content Disclaimer:Certain features of the Service use artificial intelligence to generate content (including text, suggestions, and recommendations). AI-generated content is provided "as is" without guarantees of accuracy, completeness, or suitability. You are solely responsible for reviewing, editing, and verifying any AI-generated content before use.

7. User Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

You are responsible for ensuring that your collection, storage, and use of personal data through the Service complies with all applicable data protection laws, including GDPR where applicable. You agree not to upload or process sensitive personal data (such as health data, biometric data, or data concerning criminal convictions) through the Service unless expressly permitted by your subscription plan.

8. Prohibited Uses

You agree not to use the Service for any of the following purposes:

• Any unlawful purpose or in violation of any applicable laws or regulations
• To harass, abuse, threaten, or harm another person or entity
• To send spam, mass unsolicited messages, or engage in deceptive practices
• To impersonate any person or entity or misrepresent your affiliation
• To interfere with or disrupt the Service or servers connected to the Service
• To attempt to gain unauthorized access to other users' accounts or data
• To reverse-engineer, decompile, or disassemble any aspect of the Service
• To scrape, crawl, or use automated tools to extract data from the Service
• To transmit viruses, malware, or any other malicious code
• To violate any third party's intellectual property or privacy rights

9. Limitation of Liability

To the maximum extent permitted by applicable law, Global First Solutions LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service, including AI-generated content
• Unauthorized access, use, or alteration of your transmissions or content
• Loss of data or business interruption

In no event shall our total aggregate liability exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the liability. This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise).

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant that the results obtained from the use of the Service (including AI-generated content) will be accurate or reliable. No advice or information, whether oral or written, obtained from us or through the Service shall create any warranty not expressly stated in these Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Wyoming, and you hereby consent to the personal jurisdiction and venue of such courts.

If you are a consumer based in the European Union, nothing in these Terms affects your rights under mandatory consumer protection laws of your country of residence.
